In the UK, our primary focus is on the London markets, namely the London Stock Exchange’s Main and AIM markets as well as the Acquis markets. We also work closely with our US Public Company Advisors Team where our clients are considering a listing on NASDAQ or the New York Stock Exchange as well as or as an alternative to London.

We also collaborate closely with our colleagues from other practice areas and those with sector expertise that match those of our clients. Our specific sector focus means we understand our clients’ businesses and the spheres in which they operate.

  • Pre-IPO finance and structuring, including pre-IPO finance, readiness for going public, shareholder communications and group restructurings
  • IPO/RTO, including advice on strategy, preparing heads of agreements, non-disclosure and exclusivity agreements, advisers terms and conditions as well as acting for issuers and/or advisers on the various stages of implementing an application for admission to a public market by way of an initial public offering (IPO), reverse takeover (RTO) or simple application for admission (Introduction)
  • Raising finance on-market, including by way of placings and other secondary issues, share subscriptions and offers for sale
  • Market communication and reporting, regulatory compliance and general advisory, including advice in relation to ongoing regulatory compliance, shareholder disputes and activism and takeover threats
  • Executive compensation schemes, such as designing and administering equity-based compensation plans, director compensation schemes and other compensation arrangements for executives and officers
  • Strategic transactions, including mergers and acquisitions, tender offers, technology transfers, spin offs, divestitures, strategic partnerships, going private, and other business combinations or transactions
  • Tax strategies, including domestic and international strategies for securities offerings and strategic transactions and advice in relation to EIS and VCT reliefs.
