Bond Dickinson LLP has advised Polyframe Group Limited, the UK’s leading manufacturer of trade windows and doors, on its acquisition and merger with specialist aluminium manufacturer Customade Group Ltd.

The firm has acted on behalf of the Polyframe Group and its majority investor, Cairngorm Capital. The acquisition means that the enlarged group, which will now trade under the name of Customade, will have revenues exceeding £100 million, an enhanced work force of around 900 staff and will have a complete and comprehensive product range across aluminium windows, composite entry doors and PVCu products.

Bond Dickinson Partner Simon Pilling led a cross-disciplinary team alongside Associate, Rebecca Whitehouse to provide advice on the transaction. Partner John Connor led the team working on the banking elements of the deal.

Simon Pilling, partner at Bond Dickinson said: "We have worked with Polyframe and Cairngorm Capital on a series of transactions over the last twelve months. We're delighted to have helped Cairngorm Capital and Polyframe deliver this transformational acquisition.”

John Naylor-Leyland of Cairngorm Capital, added: "Bond Dickinson has always provided us with consistent and high quality legal advice across many areas. We have established a strong relationship with Simon and his team who understand our business and how we want to execute on deals. Customade has an outstanding reputation in the industry for supplying high-quality branded aluminium products, which together with the excellence of its operational capabilities and the calibre of its staff, make it the natural partner to enhance Polyframe’s leading PVCu window and composite door range."

Last year, Bond Dickinson also advised on the original investment in Polyframe Group by Cairngorm Capital and on the acquisitions of Window Bureau Limited and the window manufacturing facility in Livingston from Stevenswood. Accordingly, this merger with Customade continues the firm’s strategy to develop the UK’s leading trade fabricator of PVCu, aluminium and composite windows and doors, addressing all trade customers’ fenestration needs.
