Andrea (Andi) Hayworth, a member of Womble Bond Dickinson’s GCSolutions team, has more than 20 years of experience representing global business clients on a full range of business transactions and governance issues, including counseling public and private company clients on mergers and acquisitions, commercial contracts, corporate formation and governance matters, capital markets and private equity transactions as well as consulting and marketing arrangements.
Prior to joining the firm, Andi worked for Colonial Pipeline Company where she served as Associate General Counsel and Assistant Corporate Secretary, working closely with the company’s executive management team and Board of Directors, and focusing her practice on enterprise compliance and corporate governance functions, including board and shareholder management, entity management, joint ventures, capital finance support, and ethics oversight. Prior to that, she served as Senior Counsel at General Electric Company, acting as general counsel to two business units, aligning business and legal needs of the businesses to implement business strategies and address concerns. She also handled a wide range of commercial contracting, acquisition integration, governance, dispute resolution, and internal investigation matters.
With her broad experience as both external counsel and an in-house lawyer, Andi is well-positioned to help businesses advance their strategic projects while simultaneously minimizing risk and complying with their legal and regulatory obligations.
