Josh Becker advises companies of all sizes across a wide range of industries, from established and fast-growth franchisors to technology developers, service providers, and distributors. He counsels clients as they anticipate and respond to regulatory changes, evolving market conditions, and competitive pressures, and for many he serves as de facto outside counsel across the range of legal questions a business faces as it forms, grows, buys, sells, or protects what it has built.
Franchising sits at the center of his practice. Josh develops, maintains, and revamps franchise programs; drafts franchise, license, and development agreements; and guides both new and established franchisors through the franchise sales process and the requirements of federal and state franchise and business opportunity laws. He advises on all stages of the franchise relationship, including operational compliance, system-standard enforcement, defaults, terminations, renewals, transfers, remodeling and reimaging, debt restructuring, and the acquisition and sale of franchised and company-operated outlets, up to and including the sale of entire franchise systems. That work extends across the agreements that hold these relationships together, among them asset purchases, licenses, assignments, promissory notes, fee deferral and abatement arrangements, guarantees, and termination and renewal agreements.
Josh also maintains an active intellectual property and commercial practice. His IP clients include software, digital media, graphic, and other technology companies, for whom he negotiates and closes domestic and international license agreements, advises on corporate formation and business structuring, and handles the day-to-day legal questions that come with running a technology business. He counsels clients on trademark registration and maintenance, licensing, copyrights, and internet-related protections, and he handles mergers and acquisitions, entity formation, joint ventures, and a range of commercial contracts.
