Congratulations to Sunbelt Asphalt Surfaces, a Georgia-based asphalt manufacturing and construction company, in the successful sale to Construction Partners, Inc., (“CPI”).  As part of the acquisition of Sunbelt, CPI acquired one active hot-mix asphalt plant in Auburn, Georgia, a separate greenfield hot-mix asphalt plant in Commerce, Georgia, and related crews and equipment.

A multidisciplinary team led by Patrick Strubbe, a Charlotte-based private equity and M&A Partner, Jonathan Cote, a Greenville, SC-based corporate and securities attorney, and Keith Taylor, a Georgia-based real estate Partner, represented Sunbelt Asphalt Surfaces in this highly complex deal. The Womble team also included Patrick Allen, Jan Baldwin, Tara Cho, Susan Cooper, Neill Edwards, Jane Jeffries Jones, Yohana Mihreteab, Richard Rainey, Lauren Van Tress, and Mark Wiley.  Elizabeth O’Neill had a long prior relationship handling the company’s litigation matters.

Jeremy Heidl, now Division President and owner The Smrtr Co (a consulting firm involved in the transaction), said “The Womble Bond Dickinson team was incredible to work with. They were able to close a transaction in 45 days that would have normally taken 4-5 months, and they created value throughout the transaction. We could not have done it with any other legal team.”
