WBD Partner Patrick Strubbe led a multidisciplinary, transatlantic team that counseled Charlotte-based Aeromed Group, a leading provider of supply chain solutions to the global aerospace and defense industry, on a complex series of simultaneous strategic acquisitions and related financing arrangements, supporting its continued international expansion.

The transactions significantly expand Aeromed Group’s global footprint and capabilities across advanced materials, legacy platform sustainment and international logistics, further strengthening its position in the aerospace and defense market. Following the transactions, the company will serve customers in more than 70 countries, with an enhanced European presence through Aeromed International.  

The work was delivered by an integrated, transatlantic WBD team across the US and UK, demonstrating the firm’s ability to support complex, multi jurisdictional transactions through coordinated, multi disciplinary expertise.  The acquisitions included:

  • HITEK Electronic Materials Ltd. (North Lincolnshire, England): Established in 1985, HITEK is a specialist in advanced electronic materials, providing critical solutions in EMI/RF shielding, thermal management, and resin and polymer solutions. As the cornerstone of Aeromed International, HITEK bridges the gap between complex material science and demanding aerospace and defense applications across the UK, Europe, and beyond. 
  • HITEK-nology Solutions Ltd. (North Lincolnshire, England): Since 2005, HITEK-nology has specialized in the supply and application of environmentally friendly corrosion control materials and descaling products to the maritime and military markets. The company provides on-site application and support in asset protection, corrosion removal, and scale removal from vessels, boilers, and platforms, with a focus on long-term asset storage and protection.
  • NorcaTec LLC (Garden City, NY): With a history dating back to 1946, NorcaTec is a premier global defense supply chain partner specializing in U.S.-manufactured equipment for naval, armored vehicle, and aircraft platforms. Its vast service network supports foreign military customers and OEMs in over 60 countries, ensuring the readiness of legacy systems for the U.S. Government and its allies through global distribution, logistics, and aftermarket services. 
  • NAPCO International LLC (Brooklyn Park, MN): With over 100 years of industry presence, NAPCO specializes in engineering, project management, procurement, and sustainment of U.S.-manufactured military vehicles and systems. A recipient of the U.S. President’s “E” Star Award for Export Excellence, NAPCO supports OEMs and militaries worldwide with build-to-print manufacturing, vehicle resets, modernization programs, and integrated logistics solutions across tactical, armored, tracked, and amphibious vehicle platforms. 
  • Kit Pack LLC (Las Cruces, NM): Founded in 1960, Kit Pack provides a trusted procurement network and a broad inventory used in the refurbishment of thousands of legacy military aircraft and helicopters. As a partner to the U.S. Department of Defense, it specializes in upgrade kits and parts for iconic platforms, including the B-1, B-52, KC-135, F-16, and C-130. Its expertise also supports mission-critical systems ranging from vehicle overhauls to ammunition loading and gun turrets.

In addition to supporting the company in the acquisitions, Womble Bond Dickinson also represented the company in a significant growth financing raise from MidCap Financial and Gemspring Capital, together with a series of equity investments, buyouts, redemptions and company wide reorganization arrangements.
