Shelby Martin has a broad, corporate transactional practice and represents companies across all lifecycle stages from formation through growth, maturity, and exit. Her practice focuses primarily on mergers and acquisitions, representing companies in both buy and sell-side transactions. Shelby has experience drafting and reviewing various transaction documents and commercial contracts including asset and stock purchase agreements, merger agreements, employment agreements, intellectual property-related agreements, consulting agreements, confidentiality agreements, and other ancillary transaction documents, as well as drafting, reviewing and filing certain securities filings including Form 8Ks, Form 10s, and Form Ds.
In addition, Shelby advises clients on corporate governance and other general corporate matters including advising directors, officers, and other senior executives on matters ranging from board structuring and succession planning, to shareholder activism. She drafts corporate governance and formation documents including bylaws, operating agreements, resolutions and more.
During law school, Shelby was a legal intern for Verizon and the Federal Communications Commission.
