ATLANTA—NCR Corporation has completed the first phase of its previously announced sale of its Interactive Printer Solutions (IPS) division to Atlas Holdings LLC.
A Womble Carlyle team led by Sharon Johnson and Eric Glidewell served as NCR’s lead legal counsel in the deal. The Womble Carlyle team also included Richard Caira, James Daniel, Joshua Hess, Erin Hoffert, Julia Kreyskop, Jeff Lawyer, Dan Mackesey, John Pueschel, and Raj Singh, among others.
NCR’s IPS division is a leading global provider of innovative consumable products and solutions for transactions, logistics and business processes in the retail, financial, hospitality, e-commerce, warehousing, distribution and manufacturing industries. The division provides a comprehensive suite of solutions including stock and custom color-printed paper receipt rolls, pressure-sensitive label solutions, impact inking and thermal transfer ribbons, as well as other transaction related consumable products.
NCR Chairman and CEO Bill Nuti said the sale aligns with the company’s vision to focus on software and services.

About the Team
Sharon Johnson has served as lead counsel for both buyers and sellers in a variety of complex business combinations, including stock and asset purchases, public and private company mergers, leveraged buyouts, acquisitions and divestitures of divisions and joint ventures. She has worked with clients in numerous industries, including technology, manufacturing, transportation, consumer products and a variety of service industries.
Eric Glidewell advises both public and private companies in the areas of mergers and acquisitions, corporate governance, private finance, public and private equity and debt offerings, and general commercial transactions. His practice includes representing clients in a variety of complex business combinations, including mergers, leveraged buyouts, debt offerings, purchases of stock and assets, divestitures and joint ventures.
Richard Caira’s practice is focused primarily on transactions relating to information technology. Caira regularly negotiates agreements for acquisition or development of complex systems, and counsels clients on issues related to protecting and commercializing their intellectual property and products, including advising on and preparing form license, services, and market channel agreements.
James Daniel’s practice is devoted to advising employers and individuals concerning employee benefit plans and executive compensation. He has 30 years of experience in employee benefits law. Daniel practices in Womble Carlyle’s Charlotte, N.C. office.
Joshua Hess represents public and private companies on matters involving mergers and acquisitions, corporate finance, and general corporate law. He has particular experience in representing lower-middle-market private equity funds in connection with a variety of corporate transactions.
Erin Hoffert is a Corporate & Securities attorney whose practice focuses primarily on evaluating, structuring and negotiating complex business transactions including mergers and acquisitions, private equity, corporate restructuring and leasing.
Julia Kreyskop assists clients in various commercial real estate and development matters, including acquisitions, sales, joint venture formation, finance, leasing, assignment and subleasing. Kreyskop has extensive experience in both retail and office leasing.
Jeff Lawyer is a veteran tax attorney with a background in accounting. Lawyer’s tax practice includes state and federal tax planning, tax strategies for corporate and real estate transactions, and tax planning for exempt and non-profit organizations.
Dan Mackesey represents developers, purchasers, sellers, investors, tenants and borrowers in commercial real estate transactions. He has handled the acquisition, financing and leasing as well as investments in most types of commercial and residential real estate. Mackesey is the Managing Partner of Womble Carlyle’s Northern Virginia office.
John Pueschel guides clients through labor and employment issues and dispute resolution, including wage and hour, discrimination, harassment and wrongful termination claims. He also has extensive experience in privacy rights and data security, and frequently writes and speaks on those issues.
Raj Singh has a diverse transactional practice that focuses on the representation of public and private companies in strategic mergers and acquisitions, private equity transactions, business restructurings, and general corporate matters. He has substantial experience representing emerging and middle market companies in the banking, technology and government contracting sectors.
