Stephen Snyder represents energy clients in a broad range of transactions and regulatory, compliance, and litigation matters before the Federal Energy Regulatory Commission (FERC) and state regulatory commissions.

His transactional representations include advising independent power producers, transmission-owning utilities, pipeline companies, renewable, energy storage, and traditional project developers, electric cooperatives, and lenders in drafting and negotiating wholesale and retail power purchase agreements; generation and transmission interconnection, affected system, and distribution service agreements; electric generation and transmission facility purchase and sale and financing agreements; fuel supply, O&M, operator, off-take and energy services agreements; pipeline gathering, storage, and interconnection agreements; renewable power purchase and lease arrangements, and REC purchase and sale agreements; and physical and financial power and gas commodity agreements.

Stephen also represents clients in a broad range of regulatory matters, including developing and supporting formula transmission and reactive rates in contested proceedings, securing prior approvals for buying and selling FERC jurisdictional facilities and issuing securities, compliance obligations for public utilities and public utility holding companies, advising on RTO/ISO tariff and business practices (particularly involving proposed or desirable changes impacting generation interconnection or participation in capacity and ancillary services markets), qualifying facility and interconnecting utility rights and obligations under the Public Utility Regulatory Policies Act, and oil and gas pipeline tariff and state and federal jurisdictional issues.

  • Represented transmission-owning utility in drafting, negotiating, and securing regulatory approval for transmission support agreement to fund system upgrades and transmission facility additions to support interconnection of major off-shore wind generation project.
  • Represented public utility in developing and conducting a series of RFPs for acquisition of natural gas and renewable generation (via facility purchase, build-transfer agreements, and PPAs) to facilitate accelerated retirement of legacy coal-fired generation capacity. 
  • Represented commercial end-user data centers in drafting and negotiation of on-site solar and fuel cell installation and power purchase agreements. 
  • Represented a large commercial end user in the development and negotiation of virtual renewable energy purchase agreement with wind facility counterparty.
  • Assisted electric cooperative in updating and modernizing its form agreements for generator and transmission interconnections, affected system agreements, and procurement agreements to facilitate renewable generation penetration on system.
  • Represented public utilities in administrative litigation concerning cost-based reactive tariffs.
  • Represented new entrants in developing strategies for entering U.S. energy markets, securing regulatory authorization for U.S. operations, and negotiating power purchase agreements for participation in wholesale markets.
  • Represented investment bank clients in performing lender due diligence for financing of electric utility mergers and generation acquisition and sale.
  • Represent U.S. and Canadian liquids pipeline companies in drafting transportation service agreements, developing and running open seasons, and securing declaratory orders from FERC, where necessary, to authorize priority service on common carrier pipelines.
