Rebecca is a corporate partner in Womble Bond Dickinson's London office with significant experience of advising on a broad range of corporate transactions, including IPOs, RTOs and secondary offerings on AIM and the main market of the London Stock Exchange, public and private M&A, fundraisings, joint ventures and reorganisations. She is a corporate governance specialist as well as an experienced adviser in relation to shareholder disputes.

Rebecca acts as lead partner on complex and high profile transactions, working with and project managing multi-disciplinary deal teams and other professional advisers. She is a highly focussed and driven practitioner who executes transactions expeditiously and with a minimum of fuss.

  • Chaloner Group on the acquisition for £60m of an SPV owning 203 acres of land for redevelopment as a nuclear power plant in the Anglesey freeport area
  • A US HNW on a $50m equity investment in a global technology group servicing the African market
  • An international family office on its first UK acquisition for £6.5m of an SPV owning commercial offices in Central London with planning for redevelopment as a hotel
  • Sistemas Kern SA on its joint venture with a major UK carrier to manage, fund and develop a new UK-wide parcel locker business operating under the YEEP! Brand including an agreement to fund the business by way of up to £60m of debt and equity; the assignment of the IP rights to the YEEP! Brand, a contract for the manufacture and delivery of the parcel lockers and a commercial contract for the delivery of 90 million parcels over a five year term.
  • A luxury UK hotelgroup on various corporate transactions to transfer the ownership of 100% of the group to its South African ultimate parent company.
  • Sectigo Group on its UK re-structuring in conjunction with WBD-US on its US reorganisation.
  • A UK hydrogen retailer and supplier on a restructuring of its share and debt capital in preparation for an IPO on the London Stock Exchange AIM market.
  • A major US data technology company on its proposed bid for an AIM-listed company in the AI/technology sector.
  • Ovo Energy Group on a bespoke corporate governance framework for adoption by each group company and members of the senior management team
  • Warner Music on the divestment of £100m of recorded music assets to the independent music community
  • A new UK challenger bank on its application for authorisation and capitalisation by way of equity investment and subsequent further fund raisings
  • A Top 100 law firm on its RTO and admission to AIM and subsequent merger with a well-known international shipping law firm including putting in place new network arrangements for the overseas offices of the merged firm
  • A privately-owned UK educational college on its claim for exemption from VAT against HMRC from the First-tier Tax Tribunal hearing through to the unanimous judgment in its favour before the UK Supreme Court
