WINSTON-SALEM, N.C.—Jessica Dickerson, a former Securities and Exchange Commission attorney with private practice experience in transactional and securities compliance, has joined Womble Carlyle’s Public Company Advisors Team. Womble Carlyle is pleased to welcome Dickerson, who was the SEC Division of Corporation Finance’s 2013 nominee for the Manuel F. Cohen Award for outstanding legal ability.
Dickerson served in a number of roles at the SEC, including Attorney-Advisor on the Shareholder Proposal Task Force, Special Counsel in the Division of Corporation Finance’s Office of Small Business Policy and member of the rulemaking team implementing the crowdfunding provisions of the Jumpstart Our Business Startups Act.
Her experience includes counseling clients on Securities Act of 1933 and Securities Exchange Act of 1934 matters, including reviewing registration statements for initial public offerings, secondary offerings, shelf registrations, business combinations and exchange offers to ensure compliance with federal securities laws.
Dickerson also has experience reviewing periodic reports, proxy statements, confidential treatment requests, and requests for waivers from the disqualification provisions of Securities Act Rule 506(d).
She is a frequent author on SEC compliance topics. Dickerson will practice in Womble Carlyle’s Winston-Salem office.
