David is a partner in the Corporate group. He splits his practice between private investment fund transactions, including fund formation, representation and investment, and general corporate work, with an emphasis on start-up companies.

As a part of Womble Bond Dickinson’s Private Investment Fund Team, David has significant experience in representing clients on all matters relating to private investment fund transactions, including organization and structuring, investment, the negotiation of key terms (on both the investor and fund side), and compliance with applicable securities and tax laws and regulations. He has experience representing institutional investors in connection with the placement of capital in all types of private investment funds. David also provides counsel to private fund clients in connection with governance and management matters.

David also has represented private companies (including venture backed companies and other start-up companies) in a wide variety of corporate and securities transactions. These include venture capital and other private company financings, as well as transactional and governance matters including: meetings of shareholders and boards of directors; employment contracts; stock repurchases; shareholder agreements and general contract issues. In addition, David focuses on representing clients in the education industry, including providing counsel on matters relating to internal governance and structuring. David has been recognized as a Rising Star by North Carolina Super Lawyers.
